Agreement
These Terms of Service (“Terms”) govern your access to and use of RequestHarbor (the “Service”) operated by the entity that provides the Service (“we,” “us,” or “our”). By creating an account, accepting an invitation, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes your organization.
Description of the Service
RequestHarbor is a software platform that helps professional teams collect files, structured responses, approvals, and related activity from their clients through branded request workflows and a client-facing portal. Features, limits, and availability may vary by plan and may change over time as we improve the product.
Accounts and access
You must provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account and for ensuring that your team members and clients use the Service appropriately. We may suspend or terminate access if we reasonably believe these Terms have been violated or if necessary to protect the Service or other users.
Customer content and responsibilities
You retain ownership of content you and your users submit to the Service (“Customer Content”). You grant us a non-exclusive license to host, process, transmit, and display Customer Content solely to provide and improve the Service, including security, backups, and support as permitted by your settings.
You are solely responsible for the legality of Customer Content and for obtaining any consents, rights, and notices required for you to collect, upload, or share data about your clients and third parties. You must not use the Service to store or transmit unlawful, infringing, or harmful material, or to violate others’ privacy or intellectual property rights.
Acceptable use
You agree not to:
- probe, scan, or test the vulnerability of the Service or breach security or authentication measures;
- interfere with or disrupt the integrity or performance of the Service or third-party data contained therein;
- reverse engineer the Service except where such restriction is prohibited by law;
- use the Service to send spam, phishing, or deceptive communications; or
- use the Service in violation of applicable law or export control rules.
Third-party services
The Service may integrate with third-party products (for example, payment processing through Stripe, or optional calendar and scheduling tools). Those services are governed by their own terms and privacy policies. We are not responsible for third-party services you choose to enable.
Fees and billing
Paid plans are billed according to the pricing and billing period you select at checkout or in your billing settings. You authorize us and our payment processor to charge your designated payment method. We may change prices with reasonable advance notice; continued use after the effective date may constitute acceptance.
Subscription refunds
If you are not satisfied with a paid subscription, use the in-product billing area first (for example, Settings → Billing for your organization, or the location labeled in the app). Eligible accounts may request a self-service refund of the most recent subscription invoice payment within the time window shown there. Unless the product displays a different period, that window is 14 calendar days from the recorded payment date for monthly billing, and 30 calendar days from the recorded payment date for yearly billing. The recorded payment date is the time our payment processor marks the subscription invoice as paid.
When a self-service refund is completed, we refund that charge to the original payment method and cancel the associated paid subscription immediately so that subscription does not renew or bill again. Timing for funds to appear depends on banks and card networks. Only users with billing management permission for the organization may use self-service refunds.
Outside that window, for partial refunds, billing errors, or anything that does not fit the self-service flow, contact us at [email protected] before filing a chargeback or payment dispute—we will work with you in good faith. Except as described above or as required by applicable law, fees are not refundable.
Confidentiality
We will use reasonable efforts to protect Customer Content that is not intended to be shared with the public. You will not disclose non-public information about the Service that we mark as confidential without our prior consent, except as required by law.
Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.
Indemnity
You will defend and indemnify us and our affiliates, officers, and employees against any third-party claims, damages, and costs (including reasonable attorneys’ fees) arising from Customer Content, your use of the Service in violation of these Terms, or your violation of law or third-party rights.
Termination
You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or risk to the Service. Upon termination, your right to use the Service ceases; provisions that by their nature should survive (including ownership, confidentiality, disclaimers, limitations of liability, and indemnity) will survive.
Changes to these Terms
We may modify these Terms by posting an updated version on this page. If changes are material, we will provide additional notice where appropriate (for example, by email or in-product notice). Your continued use after the effective date constitutes acceptance of the revised Terms, except where applicable law requires a different process.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-law rules. The state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
Miscellaneous
These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements on the same subject. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
